Overview of mergers & acquisitions

We advise our clients in mergers, acquisitions and divestitures before, during and after the transaction. We base our advice on thorough analysis and continuous dialogue with our clients and strive for innovative solutions that support our clients' businesses. We have particularly strong experience in international cross-border transactions.

Sell-side advisory

We advise target companies and their owners in selling businesses and companies. We manage the whole sell-side process with the aim of maximizing value of the business to be sold. In addition to project management we typically provide advice in relation to valuation, transaction structuring, deal tactics, and many other matters. Together with the management we also build the investment case for the business. After we contact potential acquirers we lead the bidding process and final negotiations between the parties.

Our track record in sell-side advisory includes running controlled auction processes as well as negotiated one-on-one processes. We have been very successful in building attractive investment cases and selling them to selected acquirers.

Buy-side advisory

We advice our clients when they consider acquiring businesses and companies. Our role includes project management, valuation, transaction structuring, deal tactics, negotiations and many other matters. Our aim is to achieve best possible value and terms for our client and we work hard to reach this result. We have a strong record of successful buy-side advisory assignments ranging from cross-border public takeovers to local private acquisitions.

Merger advisory

In a merger situation it is of particular importance to understand the business and transaction logic of all merging parties. In addition, thorough familiarity with a merger process is of crucial importance. Summa is well qualified to advice clients on merger transactions given the strong experience of our professionals, an assurance of total discretion and a lack of conflicting interests.

Overview of financing advisory

We help our clients to raise capital to finance their businesses. As an independent advisor, we have no conflicts of interest and are able to provide our clients with advice that is solely aimed at providing financing on the best terms available. Restructurings and other advisory

We support our clients in planning and executing restructurings and strategic changes in their business portfolios. We bring the corporate finance expertise to our clients by analysing business portfolios to determine core business areas, existing growth areas, mergers, acquisitions and divestitures opportunities, optimal capital structure and financing alternatives of corporate transactions. Finally we help our clients to execute their plans.

Public takeover of Lindex by Stockmann and related financing transactions Stockmann announced a public offer to acquire the Swedish retail chain Lindex with a total consideration of € 867 million in October 2007. In December 2007 Stockmann announced that it will complete the public tender offer as the company had received an acceptance from Lindex shareholders holding more than 90% of shares in Lindex. Delisting and squeeze-out process was completed in early 2008. Lindex was the market leader in lingerie in Sweden and Norway and among the leaders in women’s wear and children’s wear with revenues of nearly € 573 million. As Lindex was listed on the Nasdaq OMX stock exchange, the transaction was consummated as a public takeover. Summa was the sole financial adviser to Stockmann in the takeover. Simultaneously with the acquisition, Stockmann needed to secure sufficient financing for the transaction. Summa raised the debt financing for the transaction during extremely turbulent debt market situation. In the summer 2008 Stockmann completed an equity offering to partly refinance the debt related to Lindex acquisition. Summa advised Stockmann in the offering.

Joint venture arrangement of Outokumpu's Stainless Tubular Products unit (OSTP) by Outokumpu Corporation In September 2011 Outokumpu Corporation announced the agreement on the joint venture for Outokumpu’s stainless tubular products unit (OSTP) with Tubinoxia, an Italian company controlled by Andrea Gatti. OSTP is one of the world’s largest producers of welded stainless steel process pipes and tubes as well as threaded and butt weld fittings with a total annual production capacity of about 100,000 tons and sales of approx. EUR 200 million. It employs some 850 employees and has 10 production sites in Sweden, Finland, Saudi Arabia, Estonia and Canada. OSTP has been loss-making for the past three years and its operating loss in 2010 totaled close to EUR 40 million. OSTP joint venture arrangement demonstrates Summa’s ability to provide its clients’ with value maximizing advisory services in complex and challenging business restructurings. Summa was the sole financial advisor to Outokumpu Corporation in the transaction.

DIVESTMENT OF FINNKINO BY SANOMA CORPORATION In March 2011 Sanoma Corporation announced the € 116 million divestment of its movie theatre operations to the Swedish private equity company Ratos AB. Finnkino is the largest movie theatre chain in Finland and the Baltic countries with 25 theatres. The company net sales totalled € 88.6 million and operating profit € 8.5 million in 2010. The sales process of Finnkino underlines Summa’s ability to provide its clients with value maximising advisory services. Summa was the sole financial adviser to Sanoma Corporation in the transaction.

Convertible bond issue by Glaston In June 2009 Glaston announced the issue of € 30 million convertible bond. Bonds were listed on NASDAQ OMX Helsinki in September 2009. Glaston is the global market leader in glass processing machines and a pioneer in its field as a comprehensive supplier. Glaston serves its customers worldwide in over 20 service locations and around 30 sales offices. Glaston’s net sales were € 270 million in 2008. Summa was the lead manager and bookrunner in the issue.
